POLTRONA FRAU’S PRODUCT PAGE - TERMS AND CONDITIONS        

 

This internet website, available at the following address: https://dpp.poltronafrau.com (hereafter the "Site") is published by the company Poltrona Frau Spa with registered office in Meda (MB) 20821 at via Luigi Busnelli no.1, VAT no. 05079060017, (hereafter "Poltrona Frau"). 

The Site is hosted by Aura Blockchain Consortium, having its corporate offices at Rue Vallin 2, 1201 Genève, Switzerland.

 

 

ARTICLE 1. SCOPE OF THE TERMS AND CONDITIONS OF THE DPP SITE (“SITE”)

 

The purpose of the present terms and conditions ("T&Cs") is to define the conditions under which a customer who purchased a product (the “Product”) from POLTRONA FRAU (the "Customer") may access information on the Product and claim the digital certificate of ownership relating to such Product ("Certificate of Ownership").

Access and use of the Site are subject to the present T&Cs. By accessing (i.e. login) and using the Site, the Customer accepts without reservation the T&Cs.

These T&Cs are supplemental to, and do not replace any agreement the Customer may have with POLTRONA FRAU or any terms and conditions that may apply to other services offered by POLTRONA FRAU. In particular, the order of a Product through POLTRONA FRAU website or direct sales representatives is governed by terms and conditions available at the following link: https://www.poltronafrau.com/terms-and-conditions.html

The Customer will be indicating his/her acceptance of the T&Cs and the Privacy Policy in force by checking the tick box linked to the mention, "I agree to the Terms and Conditions of the Site".

POLTRONA FRAU may update and modify the T&Cs at any time. Customers will be informed of any such changes through the "Last Update" section and the Customer will be deemed to have accepted the changes on the first time that he/she uses the Site after being informed of the changes. 

 

ARTICLE 2. ACCESS TO THE SITE

 

The Site shall only be accessed by Customers.

When purchasing the Product, the Customer is provided with:

▪ a paper certificate which contains a unique serial number ("Personal Pin Code");

▪ a physical booklet with a NFC tag.

To access the Site, the Customer must scan the QR Code with his/her smartphone then, the Customer will visualise the DPP with the information on the Product. The Customer will be invited to accept these T&Cs and to enter the Personal Pin Code to claim the certificate of ownership. 

The Customer is solely responsible for maintaining the confidentiality of the Personal Pin Code. The Customer shall notify POLTRONA FRAU immediately of any unauthorized use of his/her Personal Pin Code, or any other security breach.

The Customer must be at least 18 years old to access and use the Site.

The Site and its services are intended to be accessible worldwide. However, access from certain countries may be restricted due to local regulations or technical limitations. Currently, access from China is temporarily disabled.

 

ARTICLE 3. PRODUCT IDENTIFICATION AND TRACKING INFORMATION

 

3.1 Access to information about the Product

The information relating to the Product and made available on the Site ("Product Information") will display trustworthy and certified data anchored on a blockchain in order to provide reliable source of information.

Where relevant and applicable, the Customer will access information about: 

▪ model

▪ manufacturing information

▪ raw material

▪ service (how to use, maintain and repair the product)

▪ certificate

POLTRONA FRAU will make its best efforts to ensure that the Product Information is accurate and up-to-date, however, POLTRONA FRAU cannot guarantee the absolute accuracy of such information.

Updates to the Product Information may be made over time. All changes are permanently recorded on the blockchain. However, the visibility of such updates to the end user may be limited depending on the configuration of the Aura platform. Modifications to existing visible fields are possible and are logged in the “BLOCKCHAIN TRACEABILITY” section, although the specific content of the change may not be explicitly shown.

 

3.2 Access to the digital Certificate of Ownership

Through the Site, the Customer will have the possibility to claim its Certificate of Ownership. In this respect, the Customer will have to click on the "Claim Certificate of Ownership" button.

The Customer will then be able to view and download his/her Certificate of Ownership, which is a NFT (non fungible token) and represents on the blockchain an immutable and reliable Certificate of Ownership for the Product.

Once the Customer has downloaded his/her digital Certificate of Ownership, the Product will be exclusively linked with the Customer as a new single designated owner anchored on the Aura Blockchain Consortium private blockchain thanks to a NFT associated to the Product.

In case of resale of the Product, the Certificate of Ownership may be transferred to a new owner through functionalities provided by the Aura Blockchain Consortium, subject to activation by POLTRONA FRAU. The transfer process, if available, will be governed by the applicable procedures defined by POLTRONA FRAU and the Aura Blockchain Consortium.

The Certificate of Ownership does not have an expiration date and remains valid indefinitely, unless otherwise communicated by POLTRONA FRAU.

The digital Certificate of Ownership can be downloaded into his/her native smartphone wallet app or as a pdf certificate.

 

ARTICLE 4. SECURITY

 

POLTRONA FRAU will use commercially reasonable efforts to ensure the security of the Site. However, POLTRONA FRAU cannot guarantee that the Site will be free of viruses and/or other computer code that may contain contaminating or destructive features.

 

It is the Customer responsibility to put in place appropriate computer security measures (including anti-virus and other security controls) to meet his/her particular information security and reliability needs.

 

ARTICLE 5. PROPER USE OF THE SITE

 

The Customer undertakes to use the Site in a lawful manner and in compliance with these T&Cs, and not to disrupt or interfere with the systems resources, servers, or networks connected to or accessible through the Site.

The Customer may not access or use the Site for any purpose other than that for which we make the Site available. The Customer agrees that he/she will not (i)use any robot, spider, scraper, deep link or other similar automated data gathering or extraction tools, program, algorithm or methodology to access, acquire, copy or monitor the Site or any portion of the Site, (ii) attempt to decipher, decompile, disassemble, or reverse-engineer any of the software comprised in, or in any way making up a part of the Site.

The Customer is expressly prohibited from attempting to obtain or obtaining a certificate of ownership belonging to a third party.

The use of artificial intelligence systems, including but not limited to automated agents, bots, or machine learning tools, to access, interact with, extract, or analyze any part of the Site or its contents is strictly prohibited, unless expressly authorized in writing by POLTRONA FRAU.

 

ARTICLE 6. FUNCTIONING AND AVAILABILITY OF THE SITE

 

POLTRONA FRAU shall do its best efforts to maintain the Site available 7 days a week, and 24 hours a day. However, access to the Site may be temporarily suspended, in case of planned maintenance, migrations, updates, or constraints related to the functioning of Internet, without any liability towards the Customer.

It is recalled that the transmission of data over the internet only benefits from a limited reliability. The networks used to transmit such data may have different characteristics and capacities, and are likely to be saturated at certain times of the day, which may affect their delay of transmission and their availability.

Therefore, certain functionalities of the Site, including but not limited to the download of the Certificate of Ownership or access to updated Product Information, may be temporarily unavailable due to technical or operational constraints.

 

ARTICLE 7. INTELLECTUAL PROPERTY RIGHTS

 

The Site is POLTRONA FRAU’s property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site and the trademarks, and logos contained therein (the "Protected Elements") are owned by POLTRONA FRAU, or third-party providers or licensors and are protected by intellectual property rights.

Any total or partial reproduction, downloading, modification or use of the Protected Elements, for direct or indirect commercial use and on any medium whatsoever, without the express prior written consent of POLTRONA FRAU, is strictly prohibited. Protected Elements provided on the Site may only be downloaded, printed or otherwise reproduced for personal, non-commercial purposes, provided that the copyright notices and other designations regarding ownership are retained

Nothing contained in these T&Cs shall be construed as conferring any license or right to use any Protected Element of POLTRONA FRAU or of any other third party.

 

ARTICLE 8. EXTERNAL LINKS

 

The DPP Site may include external links to sites maintained or controlled by third parties. Any approved links to websites not maintained by POLTRONA FRAU are provided solely as a convenience to Customers.

If the Customer uses those links, he/she will leave the Site. POLTRONA FRAU does not review any of these linked websites and make no representation, either express or implicit, as to the quality, relevance, accuracy, completeness, up-to-date status, availability or legality of the content of these websites. POLTRONA FRAU will not be responsible in any way for the products, services, information and other content offered via these linked websites. If the Customer decides to access any of the third-party sites linked to the Site, he/she does so entirely at his/her own risk.

 

ARTICLE 9. DATA PROTECTION

 

In order to enable the Customer to access the Site and obtain the Certificate of Ownership, POLTRONA FRAU and its authorized processors may process personal data relating to the Customer, including but not limited to: name, contact details, product purchase information, and interactions with the Site.

The processing of personal data is carried out in accordance with applicable data protection laws, including the General Data Protection Regulation (EU) 2016/679 (“GDPR”), and is based on the necessity to perform the contract with the Customer and to comply with legal obligations.

A detailed Privacy Policy is available at https://www.poltronafrau.com/legal/dpp.html, which describes the purposes, legal bases, data retention periods, recipients, and rights of the data subjects.

In addition, POLTRONA FRAU has conducted a Data Protection Impact Assessment (DPIA) to evaluate and mitigate the risks associated with the use of blockchain technology and the issuance of digital certificates. An extract of the DPIA is available upon request. The DPIA confirms that:

▪ Personal data are always pseudonymized and never stored directly on the blockchain. Instead, a unique pseudonym is generated through a hashing algorithm and recorded on-chain. This approach ensures full compliance with GDPR rights, even considering the immutability of blockchain technology, while minimizing any risk of re-identification.

▪ Data subjects retain their rights under GDPR, including the right to access, rectification, and objection, even in the context of blockchain-based processing. Where blockchain immutability limits the ability to erase or modify data, POLTRONA FRAU and Aura Blockchain Consortium have implemented technical and organizational safeguards to respect these rights to the greatest extent possible In the event of a data erasure request (“right to be forgotten”), the off-chain link between the pseudonym ID and the corresponding personal data can be deleted. As a result, the pseudonym ID remaining on-chain becomes irreversibly disconnected from any individual, rendering it useless and fully anonymized.

ARTICLE 10. CUSTOMER SUPPORT SERVICE

 

Should the Customer have any claim towards POLTRONA FRAU regarding his/her access and/or use of the Site, Customer must first contact POLTRONA FRAU's Customer Service Center with all necessary information and related documents accessible at http://www.poltronafrau.com

 

ARTICLE 11. LIABILITY

 

POLTRONA FRAU implements means intended to ensure the security of the Site. It is however reminded that POLTRONA FRAU does not control the risks related to the functioning of the Internet and draws the attention of the Customer to the existence of possible risks in terms of confidentiality of the data transiting via this network.

To the extent permitted under the applicable law, POLTRONA FRAU will only be liable to the Customer for direct losses caused by fraudulent or intentional breaches of its obligations under applicable law or these Terms.

 

To the extent permitted under applicable law, POLTRONA FRAU will not be liable to the Customer for (i) any indirect damage from the use of the Site (and in particular but without limitation loss of data, loss of chance or opportunities, loss of reputation) or from the impossibility to access the Site, use of the elements contained on the Site, from any default, bug or interruption of the Site .

 

POLTRONA FRAU shall also not be held liable for any malfunction, delay, or inaccessibility of the Certificate of Ownership due to issues inherent to the blockchain infrastructure used.

 

ARTICLE 12. APPLICABLE LAW AND JURISDICTION

 

These T&Cs shall be subject and governed by Italian law.

Any dispute, controversy or claim arising out of, or in relation to, these T&Cs, including the validity, invalidity, breach, or termination thereof, will be submitted to the exclusive jurisdiction of the competent courts in Milan, Italy.

 

If the Customer is residing in a member state within the EU, and is a consumer, he/she additionally benefits from the protection provided to him/her by mandatory provisions of the law in his/her country of residence.

 

Furthermore, is the customer is residing in a member state within the EU, he may make a claim to defend his consumer protection rights in regard to these T&Cs in Milan, Italy, or in the EU country in which he/she resides.
